Terms of Service

1. Agreement to Terms

By accessing or using Vowch ("the Platform"), operated by Vowch ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Platform. We reserve the right to update these terms at any time, and your continued use of the Platform constitutes acceptance of any changes.

2. Description of Service

Vowch is a wedding vendor marketplace that connects engaged couples with wedding service providers. The Platform enables vendors to create profiles, receive and manage leads, build preferred vendor lists, and process payments. Couples can discover vendors, submit inquiries, and communicate with vendors through the Platform.

3. User Accounts

To access certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these terms or engage in fraudulent activity.

4. Vendor Obligations

Vendors who use the Platform agree to:

  • Provide accurate business information, including business name, contact details, and service descriptions
  • Respond to leads in a timely manner
  • Honor pricing and service commitments made through the Platform
  • Maintain appropriate licenses, insurance, and permits required for their services
  • Not engage in deceptive practices, spam, or harassment of couples or other vendors
  • Comply with all applicable local, state, and federal laws

5. Payments and Fees

Vowch facilitates payments between the Platform and vendors. By using our payment features, you agree to the following:

  • Lead Credits: Marketplace vendors purchase credits to unlock leads. Credit purchases are non-refundable except as described in our dispute process.
  • Commissions: Recommending vendors earn a commission on leads generated through their preferred vendor lists. Commission rates are set by Vowch and may be updated with notice.
  • Payouts: Vendor payouts are processed through Stripe Connect. Vendors must complete Stripe onboarding to receive payouts. Payout timing is subject to Stripe's processing schedule.
  • Disputes: If a vendor believes a lead was fraudulent or invalid, they may file a dispute. Vowch reviews disputes and may issue refunds at its sole discretion.

6. Couple Obligations

Couples who use the Platform agree to:

  • Provide accurate information in inquiry forms, including name, contact details, and wedding details
  • Not submit fraudulent, misleading, or spam inquiries
  • Communicate respectfully with vendors
  • Understand that Vowch does not guarantee vendor availability, pricing, or quality of service

7. Intellectual Property

The Platform, including its design, logos, text, graphics, and software, is owned by Vowch and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Platform without our prior written consent. Vendors retain ownership of their own content (photos, descriptions, etc.) but grant Vowch a non-exclusive license to display it on the Platform.

8. Prohibited Conduct

You agree not to:

  • Use the Platform for any unlawful purpose
  • Scrape, crawl, or use automated tools to extract data from the Platform
  • Attempt to gain unauthorized access to any part of the Platform
  • Interfere with the Platform's operation or other users' experience
  • Impersonate another person or entity
  • Upload malicious code, viruses, or harmful content
  • Circumvent any security measures or access controls

9. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied. Vowch does not warrant that the Platform will be uninterrupted, error-free, or secure. We do not endorse, guarantee, or assume responsibility for any vendor's services, quality, or reliability. Couples are responsible for conducting their own due diligence when selecting vendors.

10. Limitation of Liability

To the maximum extent permitted by law, Vowch shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to loss of profits, data, or business opportunities. Our total liability for any claim arising from these terms or your use of the Platform shall not exceed the amount you paid to Vowch in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Vowch, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Platform, violation of these terms, or infringement of any third-party rights.

12. Termination

We may suspend or terminate your account at any time, with or without notice, for any reason, including violation of these terms. Upon termination, your right to use the Platform ceases immediately. Any pending payouts will be processed according to our standard schedule, subject to our dispute and review processes.

13. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved in the state or federal courts located in Utah.
